Terms & Refund Policy

Last updated September 20, 2026

Draft, not yet reviewed by a lawyer

This page states the policy in plain language so you know what you're agreeing to before you pay. It is a starting point, not final legal language, and the signed Statement of Work for your engagement controls if the two ever disagree. See the SOW, NDA, and IP-assignment templates for what you'll actually sign. This page is not indexed by search engines until it's been reviewed.

Known gaps pending legal review: limitation of liability, warranty disclaimer, indemnity, dispute resolution, how change orders and acceptance work, and how IP assignment interacts with non-payment (assignment is not conditioned on payment; non-payment remedies are a contract matter, not an IP-withholding one). None of that is written here yet; a signed SOW covers the specifics of an engagement in the meantime.

What you're buying

Every engagement is fixed fee and agreed in writing before it starts. The current prices, published on the engagements page, are the ones that apply:

  • Blueprint: $7,500, fixed.
  • Pilot: $30,000, fixed.
  • Build: $60,000 to $180,000, priced exactly in the Blueprint, billed by milestone.
  • Proof: $15,000, fixed.
  • Run: from $8,000, monthly.
  • Care: $2,500, monthly.

How you can pay

Blueprint, Pilot, Proof, Run, and Care can be paid immediately through the Stripe Checkout link sent once the scope is agreed. Card, Apple Pay, and the other wallets Stripe offers settle right away; a bank-account (ACH) debit, when it's turned on, can take several business days to clear before the engagement is treated as paid. Build is invoiced directly since it's priced per engagement. If your finance team needs a formal invoice with payment terms instead of a card charge, on any tier, the engagements page has a "Request an invoice" link next to each tier's price that opens an email with the details filled in, rather than a second Checkout.

Refunds and cancellation

Before work starts. If we cancel before work starts, we settle it by agreement; nothing on this page creates a refund right the engagements page does not state, except for the Blueprint's credit-forward guarantee below.

The Blueprint specifically. The Blueprint fee is credited in full toward a Pilot or Build that starts within 60 days, rather than refunded, as described on the engagements page.

Mid-engagement cancellation. Build is the only tier billed by milestone: a milestone already delivered is not refunded, and a milestone not yet started is not billed. Blueprint, Pilot, and Proof are paid in full at signing through Checkout rather than by milestone; the Blueprint's prepaid fee is covered by the credit-forward guarantee above, and there's no separate published schedule yet for canceling a Pilot or Proof once it has started, so email nate@rosstech.dev and it's worked out case by case, or the SOW for that engagement can set specific terms before it starts. Run can be ended by either side with 30 days' notice at any time; Care has a three-month minimum before that 30-day notice applies, as stated on the engagements page. Either way, the month you're in when notice is given isn't refunded: Run and Care are each a single upfront Checkout charge for one month, not a subscription prorated by day.

IP and confidentiality

An NDA and an IP-assignment addendum are signed before any engagement starts. The short version is on the engagements page; the actual templates you'll sign are at /legal.

Governing law

These terms are governed by the laws of the state where RossTech LLC is registered, without regard to conflict-of-law rules. The signed SOW for your engagement can set a different governing law or venue if that's what both sides agree to. (The state isn't named on this page yet; that's an open owner decision, not an oversight.)

Questions

Email nate@rosstech.dev and a person will answer, including if you just want the refund/cancellation terms explained before you sign anything.
