IP Assignment Addendum

1. Parties and scope
This IP Assignment Addendum is entered into as of [Effective Date] between RossTech LLC ("RossTech") and [Client Legal Name] ("Client"), and applies to the Deliverables defined in the accompanying Statement of Work (the "Deliverables").
2. Assignment
RossTech assigns to Client all right, title, and interest, including all copyright and other intellectual property rights, in the Deliverables created under the Statement of Work. Client owns each Deliverable as it's created, from day one, matching what's promised on the engagements page: this assignment isn't conditioned on payment for a milestone. Non-payment is a contract matter handled under the Statement of Work and applicable law, not by withholding this assignment.
3. What RossTech keeps
RossTech keeps its own pre-existing tools, libraries, and scaffolding brought into the engagement, plus the general techniques and judgement it walks in with and out with: none of that is specific to Client's Deliverables. Where any of that pre-existing IP is embedded in a Deliverable, RossTech grants Client a perpetual, royalty-free, worldwide license to use, run, and modify it solely as part of using, maintaining, and extending the Deliverables. RossTech does not retain your data, your code, your name, or any newly built, client-specific component; nothing built for Client under the Statement of Work stays behind as RossTech's property.
4. Moral rights and further assurances
To the extent permitted by law, RossTech waives any moral rights in the Deliverables that would otherwise limit Client's use of them, and will sign any further documents reasonably necessary to perfect this assignment.
5. Confidentiality
Nothing here changes the confidentiality obligations in the Mutual NDA signed alongside this addendum.
